📃Test Run X-Athlete Nico Varrone

These Terms and Conditions of the X-Athlete Program of Nico Varrone (the "Nico Varrone T&C") govern exclusively the Presale under Test Run Modality of the Nico Varrone token (the "Token") and supplement the X-Athletes Terms and Conditions (the "X-Athletes T&C"), which apply to anything not provided for herein. In the event of conflict, this Nico Varrone T&C Annex shall prevail over the X-Athletes T&C with respect to the matters regulated herein.

1. Context and framework of the Presale under Test Run Modality.

The Nico Varrone Presale under Test Run Modality is a pilot phase prior to the launch of the Presale.

At this stage, the user makes a reservation of a place for the future issuance of the Nico Varrone utility token. The transaction is instrumented through a SAFT (Simple Agreement for Future Tokens) entered into between WIN and each user.

2. Scope and conditions of the Presale under Test Run Modality

• Maximum amount to be sold in the Presale under Test Run Modality: USD 10k.

• Each user shall enter into a SAFT with WIN promising the future delivery of the Nico Varrone Token conditioned upon the Nico Varrone program being confirmed.

• The funds collected during the Presale under Test Run Modality shall remain in custody by WIN. No amount shall be released until the definitive agreement between the parties has been executed.

• In the event that, upon expiration of the Presale under Test Run Modality term, the athlete's program is effectively confirmed, the purchaser's right to the future delivery of tokens shall be perfected once the platform is operational and the Experiences are available for access.

• In the event that, upon expiration of the Presale under Test Run Modality term, the athlete's program is not confirmed, the funds contributed by the purchaser shall be reimbursed at their nominal value.

• The experiences mentioned during the Presale under Test Run Modality are of a potential nature. Their effective availability is conditioned upon confirmation of the program by the athlete.

3. Catalog of potential Experiences of Nico Varrone.

The following Experiences were previously validated by Nico Varrone and his team, and constitute the potential catalog for the program. The definitive parameters (effective availability of the Experiences, quotas, frequency, platform, location) will be confirmed with the confirmation of the program and the official launch of the program.

A. Initial Experiences

• Individual virtual Meet & Greet: one-on-one session of up to 15 (fifteen) minutes with Nico Varrone. Limited quota (estimated: 3 (three) sessions per week), periodicity to be confirmed.

• AMA (Ask Me Anything): live group space with an approximate quota of 20 (twenty) people per session. Suggested frequency: 1 (one) session per month.

• Live-streamed simulator training: open broadcast of Nico Varrone's simulator training sessions, on platforms such as Twitch or Kick. Duration and frequency to be coordinated according to Nico Varrone's calendar.

B. Club Nico: Race 2026 (annual membership).

Annual membership that brings together various exclusive benefits for fans, structured around the 2026 sports season. Members would have recurring access to content and experiences not available through public channels.

• Exclusive behind-the-scenes content: pre- and post-sporting-event material reserved for members (estimated: 1 (one) pre-race video and 1 (one) post-race video, between 20 (twenty) seconds and 1 (one) minute, in raw and authentic format).

• AMA & Q&A exclusive to members: virtual spaces reserved for Club members, with a suggested frequency of between 2 (two) and 6 (six) sessions throughout 2026. Platform to be defined.

C. Complementary Experiences.

• Virtual F2 Race Simulator: live F2 simulator competition against Nico Varrone, with open streaming (platform: Twitch or Kick).

• Exclusive merchandising: limited-edition items linked to Nico Varrone's sporting activity (used, signed, collectible items). Estimated frequency: 1 (one) exclusive item per race.

• Personalized video: short video recorded by Nico Varrone for the recipient indicated by the buyer (up to 30 (thirty) seconds).

• In-person Meet & Greet: dinner or exclusive event with a limited quota (between 5 (five) and 20 (twenty) people). Initial annual frequency.

• RaceDay Nico: in-person day with Nico Varrone at a track or racing circuit, with driving-related activities (test tracks, guided laps, track tours). Quota between 5 (five) and 20 (twenty) people. Duration: full day.

The definitive parameters of each Experience (effective availability, quotas, frequency, platform, location) are subject to confirmation of the program and will be published on the platform sufficiently in advance of the official launch.

Important notice

• The Presale under Test Run Modality is a provisional pilot phase. It does not imply the definitive launch of the program nor does it guarantee the issuance of the Nico Varrone Token, which remains subject to confirmation of the program by the athlete.

• The contribution made by the purchaser constitutes a reservation of a place for the future issuance of the Nico Varrone Token conditioned upon confirmation of the program by the athlete. It does not imply the definitive acquisition of the Nico Varrone Token.

• The Tokens are not money, cryptocurrencies, financial assets, or other investment contracts or instruments. Nothing provided for herein constitutes financial advice or a promise of return.

• Once the program is confirmed and the definitive agreement between WIN and Nico Varrone is executed, the potential Experiences detailed in this Nico Varrone T&C shall be replaced by the definitive Experiences confirmed by Nico Varrone for the program.
